These Terms of Service ("Terms") are a legal agreement between you and Getnomik Private Limited ("Digivault", "we", "us"), a company incorporated in India with its registered office at Ahmedabad, Gujarat, India. By creating an account, or by using a Digivault link to upload or view a document, you agree to these Terms and to our Privacy Policy and Cancellation & Refund Policy.
1. What Digivault is
Digivault lets professionals and businesses ("Professionals") request documents from, and securely share documents with, their clients or other recipients ("Recipients") using temporary links and email verification. Digivault is a document exchange tool. It is not a general-purpose cloud drive, a legal, tax or compliance adviser, or an e-signature service.
2. Accounts
- Professionals must create an account with accurate information and keep their credentials secure. You are responsible for activity under your account.
- You must be at least 18 years old and able to enter a binding contract. If you register on behalf of a business, you confirm you are authorised to bind it.
- Recipients do not need an account. They access Digivault through a secure link and an email verification code.
- Please verify your email address. Some features are unavailable until you do.
3. Roles for personal data
When a Professional collects documents from a Recipient, the Professional decides why and how those documents are used and kept. For that content the Professional is responsible as the party that determines the purpose and means of processing (a "data fiduciary" under the Digital Personal Data Protection Act, 2023), and Digivault processes the content on the Professional's behalf and instructions. Professionals must have a lawful basis and any required consent or notice for the documents they request, must request only what they need, and are responsible for how they use, store and delete documents after downloading them.
4. Acceptable use
You must not use Digivault to:
- upload or share anything unlawful, fraudulent, defamatory, obscene, or that infringes anyone's rights;
- upload malware or attempt to bypass our file checks, rate limits or access controls;
- request documents from people under false pretences, or impersonate another person or organisation;
- probe, scan or test the security of the service without our written permission;
- resell or provide the service to others except as allowed by your plan.
We may block or remove content, revoke links, or suspend accounts that we reasonably believe breach these Terms or put others at risk.
5. Links, expiry and retention
Links expire and can be revoked by the Professional at any time. After a link expires or is revoked, access is refused. Documents are kept only for the retention period configured by the Professional's organisation and are then deleted automatically; deleted documents cannot be recovered. We keep audit records of key events (such as creation, upload, view, download and revocation) for security and accountability.
6. Security
We use measures such as private storage, expiring links, email verification, access controls, file validation, malware scanning, rate limiting and audit logging. No system is completely secure, and we do not promise that the service will be free of errors or interruptions or that unauthorised access can never occur. You are responsible for sharing links only with intended Recipients and for keeping your devices and accounts secure.
7. Plans, fees and taxes
Fees are in Indian Rupees (₹) and are shown on the pricing and billing pages. Paid plans are billed in advance on a recurring basis through Razorpay. Prices may be exclusive of GST and other applicable taxes, which are added where required. We may change prices for future billing periods with reasonable notice. Cancellation and refunds are governed by our Cancellation & Refund Policy. We do not store your card or UPI credentials; they are handled by our payment provider.
8. Your content
You keep ownership of the documents you upload or receive through Digivault. You give us a limited licence to store, process, transmit and display them only as needed to provide the service you asked for. We do not sell your documents, use them to train AI models, or access their contents except where needed to operate or secure the service, or where required by law.
9. Our property
The Digivault name, logo, software and design belong to Getnomik Private Limited and its licensors. You receive a limited, non-exclusive, non-transferable right to use the service under these Terms.
10. Availability and changes
We work to keep Digivault available but may suspend it for maintenance or for reasons outside our control. We may add, change or remove features. If we make a material change to these Terms we will tell you in the product or by email before it takes effect.
11. Disclaimers
The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Digivault does not verify the identity, authority or documents of any user beyond email verification, and does not give legal, tax or professional advice.
12. Limitation of liability
To the extent permitted by law, Getnomik Private Limited will not be liable for indirect, incidental, special or consequential loss, or for loss of profits, data or goodwill. Our total liability for any claim relating to the service is limited to the fees you paid to us for the service in the 12 months before the event giving rise to the claim (or ₹1,000 if you use a free plan). Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You agree to compensate us for losses arising from third-party claims caused by your breach of these Terms, your content, or your unlawful use of the service.
14. Suspension and termination
You may stop using Digivault and cancel your plan at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements or security reasons. On termination, your documents are deleted according to your retention settings or promptly on request, subject to legal obligations.
15. Governing law and disputes
These Terms are governed by the laws of India. Courts at Ahmedabad, Gujarat have exclusive jurisdiction, subject to any mandatory consumer rights. Please contact us first so we can try to resolve any issue informally.
